1. Acceptance of Terms
By accessing or using Andorise ("the Platform"), you agree to be bound by these Terms of Service. If you do not agree to these Terms, do not use the Platform.
2. Platform Description
Andorise is a decentralized crowdfunding platform on the Sui blockchain featuring:
- All-or-nothing funding model: Campaigns must reach their goal to receive funds
- Smart contract-based fund management: All funds are held in auditable on-chain contracts
- Automatic refunds: If a campaign fails, backers can claim 100% refunds directly from the smart contract
- DonorPosition NFTs: Each contribution mints a unique NFT as proof of backing
The Platform is a user interface for interacting with Sui blockchain smart contracts. We do not have custody of your funds.
3. Transparent Fee Structure
Platform Fees
- 5%Success fee on funded campaigns only (deducted when creators withdraw)
- 0%Fee on failed campaigns (backers receive 100% refunds)
- 5%Royalty on secondary NFT sales (via Sui TransferPolicy)
Network Gas Fees: All blockchain transactions require Sui gas fees paid to network validators. These are not collected by Andorise and vary based on network conditions.
Fee Transparency: All fee calculations are enforced by immutable smart contracts and can be verified on-chain.
4. Refund Mechanism
How Refunds Work
- Campaign deadline passes without reaching the funding goal
- Anyone can finalize the campaign (sets status to "Failed")
- Backers claim refunds via the "Claim Refund" button on their profile
- Smart contract returns 100% of contribution to the backer's wallet
No Time Limit: Refunds remain claimable indefinitely. Funds are held in the smart contract until claimed.
Trustless Process: Refunds do not require platform intervention. The smart contract automatically enables refund claims when a campaign fails.
No Refunds for Successful Campaigns: Once a campaign reaches its goal and is finalized as successful, funds are transferred to the creator. Refunds are not available for successful campaigns.
5. Withdrawal for Successful Campaigns
How Withdrawals Work
- Campaign reaches its funding goal before the deadline
- Anyone can finalize the campaign (sets status to "Successful")
- Creator clicks "Withdraw Funds" on the campaign page
- Smart contract deducts 5% platform fee and transfers 95% to creator's wallet
One-Time Withdrawal: Funds can only be withdrawn once. After withdrawal, the campaign is marked as "funds withdrawn".
Creator Only: Only the wallet address that created the campaign can withdraw funds.
No Time Limit: Creators can withdraw funds at any time after finalization. Funds remain in the smart contract until claimed.
6. User Security
Your Wallet, Your Control
- We never have access to your private keys or seed phrases
- All transactions require your explicit wallet approval
- Funds are held in transparent, verifiable smart contracts
- You can verify all transactions on Sui blockchain explorers
Wallet Responsibility: You are solely responsible for maintaining the security of your wallet. If you lose access to your wallet or private keys, we cannot recover your funds or NFTs.
Smart Contract Security: Our contracts are deployed on Sui mainnet/testnet and can be audited by anyone. The contract source code is available for verification.
7. Decentralization Principles
Andorise is built on decentralization principles:
- Non-custodial: We never hold your funds. All assets remain in smart contracts or your wallet
- Permissionless: Anyone can create campaigns or contribute without approval
- Transparent: All transactions and fund flows are publicly verifiable on-chain
- Immutable: Once deployed, smart contract rules cannot be changed by anyone
- Censorship-resistant: Even if our interface goes offline, you can interact with contracts directly
8. Campaign Guidelines
Campaign creators must:
- Provide accurate and truthful project information
- Set realistic funding goals and deadlines
- Not create campaigns for illegal or fraudulent purposes
- Not infringe on third-party intellectual property rights
We may remove campaigns from our interface that violate these guidelines, but we cannot modify on-chain data.
9. Backer Acknowledgments
By contributing to campaigns, you acknowledge:
- Contributions are voluntary donations, not purchases or investments
- You are responsible for researching campaigns before contributing
- Campaign creators are solely responsible for delivering on their promises
- Andorise does not verify, endorse, or guarantee any campaign
- Refunds are only available for campaigns that fail to reach their goal
10. Smart Contract Risks
You accept the following risks:
- Blockchain transactions are irreversible once confirmed
- Smart contracts may contain undiscovered vulnerabilities
- Network congestion may delay transactions
- Cryptocurrency values are volatile
- Regulatory environments may change
11. Limitation of Liability
Andorise provides technical infrastructure only. We are not liable for:
- Campaign creator actions or failures to deliver
- Smart contract vulnerabilities or exploits
- Loss of wallet access or private keys
- Blockchain network issues
- Cryptocurrency value fluctuations
Our maximum liability is limited to platform fees collected from you in the preceding 12 months.
